American National Corpus – Permission Form

For the mutual covenants and promises contained herein, and intending to be legally bound, _______________________ (“Licensor”) hereby grants to the American National Corpus Consortium (the “ANCC”), a worldwide, perpetual, transferable, irrevocable, royalty-free license (the “License”) to use, reformat, reproduce, distribute, compile, organize, sublicense, transcribe and transmit, in electronic form or any and all media hereinafter developed, the work(s) described in the Attachment (“Works”), as part of a collection of American English-language material, which collection will be made available to others (“Sublicensees”) for the following purposes, as specified in the Attachment: (a) lexicographic and linguistic scholarship and research; (b) language instruction; and (c) the development of language technologies and products.

The Licensor warrants and represents the it has the full authority to enter into this Permission Form and either owns or has the right to grant the License provided herein and that the exercise by ANCC and its Sublicensees of the License granted herein will not infringe or adversely affect the rights of others. The Licensor hereby agrees to indemnify, defend and hold the ANCC and its members and Sublicensees, and its and their trustees, officers, directors, assigns, employees, agents and students, harmless from any and all claims and demands arising out of or connected with any breach by Licensor of the warranties and representations in this Permission Form. The Licensor understands the ANCC shall include within the collection an appropriate attribution as to the source of each said Work.

This Permission Form will be effective as of the date written below.

Attachment

The ANCC treats Works as either “Open” or “Restricted”. Please list the Works that you agree to license to the ANCC and indicate with an “x” whether you are granting permission for such Works to be treated as Open or Restricted:

Open Portion of the American National Corpus Texts. Works will be sublicensed to Sublicensees for the purposes of linguistic education and research and/or for the development of language products. Sublicensees may use, reproduce and distribute the Works according to the terms and conditions set forth in the Open Portion - End User License Agreement.

Restricted Portion of the American National Corpus Texts. Works will be sublicensed to Sublicensees for internal use only, for the purposes of linguistic education and research and/or for the development of non-commercial language products. Sublicensees may use the Works according to the terms and conditions set forth in the Restricted Portion - End User License Agreement or Restricted Portion – American National Corpus Consortium Member License.
